Welcome to Steady! These Terms of Service ("Terms") constitute a legally binding agreement between you ("you," "your," or "User") and Steady AI, Inc. ("Steady," "we," "us," or "our"). These Terms govern your access to and use of our website, our AI-powered learning platform, and all related services (collectively, the "Service").

Part 2: The Core Service and User Responsibilities

1. The Steady Service

1.1. Description of Service

Steady is an AI-powered learning platform designed to provide a personalized, adaptive, and interactive educational experience. Our Service is engineered to guide users on a transformative journey from "Task Performer" to "Task Publisher" by building real-world skills through simulated projects, dynamic learning paths, and a dedicated team of AI assistants.

2.1. Eligibility

Our Service is intended for users who are at least 13 years old.

The Service is not intended for and may not be used by children under the age of 13. By creating an Account, you represent and warrant that you meet these eligibility requirements.

2.2. Account Registration

To access the Service, you must create an Account. You agree to provide information that is accurate, complete, and current at all times. Failure to do so constitutes a breach of the Terms, which may result in the immediate termination of your Account.

2.3. Account Security

You are responsible for safeguarding the password that you use to access the Service and for any activities or actions under your password. You agree not to disclose your password to any third party. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your Account. You are solely responsible for all activities that occur under your Account.

3. Subscriptions, Payments, and Cancellation

3.1. Subscription Plans

The Service may require payment. We offer various subscription plans ("Subscription Plans") that are detailed on our pricing page. Your chosen Subscription Plan will determine the scope of features available to you and the applicable fees.

3.2. Billing and Payment

You agree to pay all applicable fees for your chosen Subscription Plan. We use a third-party payment processor (e.g., Stripe or any trusted processor that supports Georgian companies) to bill you through a payment account linked to your Account. The processing of payments will be subject to the terms, conditions, and privacy policies of the payment processor in addition to these Terms. By submitting your payment information, you grant us the right to provide this information to third parties for purposes of facilitating payment.

3.3. Automatic Renewal

To ensure uninterrupted service, all Subscription Plans are automatically renewed for the same period as your original subscription term. You authorize us to charge your payment method for the renewal term on or before the renewal date. You can manage your subscription and turn off auto-renewal at any time from your Account settings.

3.4. Price Changes

We reserve the right to change the prices for our Subscription Plans at any time. We will provide you with reasonable prior notice of any price changes by sending an email to the address registered with your Account or by posting a notice on the Service. Price changes will take effect at the start of the next subscription period following the date of the price change. By continuing to use the Service after the price change takes effect, you accept the new price.

3.5. Cancellation and Refund Policy

You may cancel your Subscription Plan at any time through your Account settings. The cancellation will take effect at the end of your current paid term. Please note that we do not provide refunds or credits for any partial subscription periods or unused services. Upon cancellation, you will continue to have access to the Service through the end of your billing period.

4. Acceptable Use Policy

Your use of the Service is conditional upon your compliance with the rules of conduct set forth in this section. You agree that you will not use the Service to engage in any activity that is illegal, harmful, or violates the rights of others.

4.1. Prohibited Actions

You agree that you will not, under any circumstances:

5. Content and Intellectual Property Rights

This section governs the ownership and use of content within the Steady platform.

5.1. Our Intellectual Property

The Service and its original content (excluding User Content and AI Output), features, functionality, and the underlying AI models and technology are and will remain the exclusive property of Steady, Inc. and its licensors. The Service is protected by copyright, trademark, and other laws of both the United States and foreign countries. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of Steady AI, Inc. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service in accordance with these Terms.

5.2. User-Generated Content (Inputs)

You retain all of your ownership rights in the content you submit to the Service, such as your goals, text prompts, and uploaded materials ("User Content" or "Inputs"). However, to operate and improve the Service, you grant Steady a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform your User Content in connection with the Service. This license is necessary for us to, for example, process your prompts with our AI models and provide you with AI Output. You also grant us the right to use your User Content and performance data in an anonymized and aggregated form to train our AI models and improve the quality and functionality of the Service.

5.3. AI-Generated Output

We assign to you all of our rights, title, and interest in and to the unique AI-generated content returned to you by the Service based on your User Content ("AI Output"). This means you own the AI Output (such as the simulated "Press Releases" or lesson summaries) and are free to use it for any purpose, including commercial purposes, provided that you comply with these Terms and any applicable laws. You are solely responsible for your use of the AI Output.

5.4. Feedback

We welcome your feedback, comments, and suggestions for improvements to the Service ("Feedback"). You can submit Feedback by emailing us or through other channels we may provide. You agree that any Feedback you provide is voluntary and that we are free to use such Feedback as we see fit and without any obligation or compensation to you.

6. Privacy

Part 3: Legal Protections and Dispute Resolution

7. Termination

7.1. Termination by User

You may terminate your Account and stop using the Service at any time by following the cancellation procedures in your Account settings. Termination will be effective at the end of your current billing cycle, and you will not be charged for the subsequent period.

7.2. Termination by Steady

We reserve the right to suspend or terminate your Account and access to the Service at our sole discretion, without prior notice or liability, for any reason, including but not limited to a breach of these Terms. If we terminate your Account for a breach, you will not be entitled to any refund for any unused portion of your subscription. We may also suspend your access to the Service if we believe you are using it in a way that could cause us legal liability or disrupt others' use of the Service.

Upon termination, your right to use the Service will immediately cease. All provisions of the Terms which by their nature should survive termination shall survive, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, STEADY AI, INC. AND ITS AFFILIATES, LICENSORS, AND SUPPLIERS EXPRESSLY DISCLAIM ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT: (A) THE SERVICE WILL MEET YOUR SPECIFIC REQUIREMENTS; (B) THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (C) THE RESULTS, INCLUDING THE AI OUTPUT, THAT MAY BE OBTAINED FROM THE USE OF THE SERVICE WILL BE ACCURATE, RELIABLE, OR COMPLETE; OR (D) THE QUALITY OF ANY PRODUCTS, SERVICES, INFORMATION, OR OTHER MATERIAL PURCHASED OR OBTAINED BY YOU THROUGH THE SERVICE WILL MEET YOUR EXPECTATIONS.

9. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL STEADY AI, INC., ITS AFFILIATES, DIRECTORS, EMPLOYEES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES (EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES), RESULTING FROM: (A) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE; (B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE; (C) ANY CONTENT OR AI OUTPUT OBTAINED FROM THE SERVICE; AND (D) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT.

IN NO EVENT SHALL OUR AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS ($100) OR THE AMOUNTS PAID BY YOU TO STEADY FOR THE USE OF THE SERVICE IN THE SIX (6) MONTHS PRIOR TO THE EVENT GIVING RISE TO THE CLAIM.

10. Indemnification

You agree to defend, indemnify, and hold harmless Steady AI, Inc. and its licensee and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of (a) your use and access of the Service, by you or any person using your Account and password; (b) a breach of these Terms, or (c) User Content or AI Output you post, submit, or transmit through the Service.

11. Dispute Resolution and Governing Law

11.1. Governing Law

These Terms shall be governed and construed in accordance with the laws of the State of [Your State, e.g., Delaware or California], United States, without regard to its conflict of law provisions.

11.2. Arbitration

You agree that any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof or the use of the Service (collectively, "Disputes") will be settled by binding arbitration, except that each party retains the right to bring an individual action in small claims court and the right to seek injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of a party's copyrights, trademarks, trade secrets, patents, or other intellectual property rights.

You acknowledge and agree that you and Steady are each waiving the right to a trial by jury or to participate as a plaintiff or class member in any purported class action or representative proceeding.

Part 4: General Provisions

12. Miscellaneous

12.1. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least thirty (30) days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. We will notify you of any changes by posting the new Terms on this page and updating the "Effective Date" at the top. We may also, but are not required to, notify you via email or through an in-app notification.

By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you must stop using the Service.

12.2. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire and exclusive agreement between you and Steady AI, Inc. regarding the Service, and supersede and replace any prior agreements we might have had between us regarding the Service.

12.3. Severability

If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.

12.4. No Waiver

The failure of either party to enforce any right or provision of these Terms will not be considered a waiver of those rights. A waiver of any right or provision will be effective only if in writing and signed by a duly authorized representative of Steady AI, Inc.

12.5. Assignment

You may not assign or transfer your rights or obligations under these Terms, by operation of law or otherwise, without our prior written consent. Any attempt by you to assign or transfer these Terms, without such consent, will be null and of no effect. We may freely assign or transfer these Terms without restriction. Subject to the foregoing, these Terms will bind and inure to the benefit of the parties, their successors, and permitted assigns.
